    General Assemblies and Their Role in Enhancing Transparency and Effective Shareholder Participation

    Requirements for Convening the General Assembly

    Applicable laws require that invitations to convene the general assembly be issued at least 21 days before the meeting date. Each shareholder is permitted to attend the assembly and participate in its deliberations, including voting on resolutions.

    Shareholders who own at least 5% of the company’s shares have the right to add topics to the agenda, reflecting the importance of everyone’s contribution to the discussions.

    Responsibilities of Shareholders and Boards of Directors

    Shareholders’ responsibilities include overseeing the board of directors, which manages the company’s affairs and forms the executive management led by the CEO. Shareholders are prohibited from interfering in the work of the board or executive management unless they are members thereof. Shareholders may also nominate themselves or others for board membership, increasing their engagement and influence in decision-making.

    The Role of Committees in Dispute Resolution

    The Committee for the Resolution of Securities Disputes was established to meet the requirements of disputes arising from the application of the Capital Market Law. The Committee has jurisdiction to consider administrative, civil, and criminal cases. The Appeal Committee, in turn, considers objections to the decisions of the Resolution Committee, and its decisions are final and not subject to appeal.

    Transparency and Oversight

    Shareholders have the right to review violations related to the provisions of the Capital Market Law through the Capital Market Authority or the General Secretariat of the Committees for the Resolution of Securities Disputes.

    The occurrence of harm to a shareholder is verified by matching the trading dates.

    Complaints may be submitted through the Investor Protection Portal at the Capital Market Authority, with the required documents attached. Compensation may be obtained after the Resolution Committee issues its decision, either through an amicable settlement or by a final court judgment.

    Effective shareholder participation in general assemblies contributes to strengthening communication, which improves the company’s performance and motivates its members. Such participation is a means for shareholders to influence key decisions, reflecting the importance of their role in the company’s governance structure.
